1. ​Acceptance of Terms

By accessing or using services from Geelyracks Intelligent Logistics Equipment Co., Ltd. (“Geelyracks,” “we,” “us”), including but not limited to:

• Website use (www.geelyracks.com)
• Product purchases (AS/RS racking systems, AGV/RGV cars, WMS, etc.)
• Custom design services (3D warehouse layouts, automation solutions)

You agree to comply with these Terms & Conditions. If you represent a business, you warrant authority to bind said entity.

2. ​Products & Services

2.1 Custom Solutions

• Clients must provide accurate warehouse specifications (dimensions, load requirements, operational workflows) for design proposals.
• Geelyracks retains ownership of all technical designs, drawings, and prototypes until full payment is received.

2.2 Automated Systems

• AGV/RGV vehicles, shuttle racking systems, and WMS software are subject to:
  • ​FEM 9.001 and ​ISO 9001 compliance.
  • 12-month warranty against manufacturing defects (excludes misuse or unapproved modifications).

2.3 Delivery & Installation

• Standard delivery: 45 days (continental China). International shipments incur additional lead times and duties (client’s responsibility).
• Installation services require site access and safety compliance with local regulations (e.g., OSHA, EU Machinery Directive).

3. ​Payment Terms

• ​Deposit: 50% upfront for custom projects.
• ​Balance: Due 7 days prior to shipment.
• Late payments incur 1.5% monthly interest.

4. ​Intellectual Property

• All patents, designs, and software (e.g., predictive analytics WMS) remain Geelyracks’ exclusive property.
• Clients grant permission to use project data (anonymized) for case studies and R&D.

5. ​Liability & Warranties

5.1 Product Performance

• Maximum liability = 110% of contract value.
• Exclusions:
  • Damage from improper use (e.g., exceeding racking load limits).
  • Force majeure (natural disasters, wars).

5.2 Software & Automation

• WMS uptime: 99.95% (SLA available upon request).
• No liability for data loss; clients must maintain backups.

6. ​International Trade Compliance

• Clients are responsible for:
  • Import/export licenses.
  • Compliance with sanctions (e.g., U.S. EAR, EU Dual-Use Regulations).
• Shipments default to ​FOB Quanzhou Port unless otherwise agreed.

7. ​Dispute Resolution

• Governing Law: People’s Republic of China.
• Arbitration: Disputes resolved via ​China International Economic and Trade Arbitration Commission (CIETAC) in Beijing.

8. ​Privacy & Data Security

• Personal data handling adheres to our Πολιτική απορρήτου. For EU clients, GDPR-compliant processing is available upon request.

9. ​Modifications

• Terms may be updated with 30 days’ notice via email or website公告. Continued use constitutes acceptance.

Attachment A: Warranty Details

• Structural components (racks, beams): 5-year limited warranty.
• Electromechanical systems (stackers, AGVs): 2-year warranty.
• Software updates: 18 months post-installation.

Attachment B: Return Policy

• Custom designs are non-refundable.
• Standard products may be returned within 14 days (20% restocking fee applies).
